1. Your Acceptance
Welcome to the Terms of Service for Ticket Buyback. This is an agreement ("Agreement") between Torrance Analytics LLC ("Ticket Buyback"), the owner and operator of the www.ticketbuyback.com website and any other Ticket Buyback branded sites and communications along with any services offered (collectively the “Site”) and you (“you”, “your” or “user(s)”), a user of the Site.
Please be aware that there are ARBITRATION AND CLASS ACTION PROVISIONS contained in this Agreement.
Throughout this Agreement, the words “Ticket Buyback,” “us,” “we,” and “our,” refer to our company, Torrance Analytics LLC as is appropriate in the context of the use of the words.
By clicking “I agree,” submitting your information or accessing the Site you agree to be bound by this Agreement and the Privacy Policy. We may amend this Agreement at any time and may notify you if we do so.
Please be aware that there are ARBITRATION AND CLASS ACTION PROVISIONS contained in this Agreement.

By clicking “I agree,” submitting your information or accessing the Site you agree to be bound by this Agreement and the Privacy Policy. We may amend this Agreement at any time and may notify you if we do so.
2. Information Submission and Accounts
Users may be required to register or submit information to access portions of the Site. Your information will be collected and disclosed in accordance with our Privacy Policy. By registering, you agree to provide information that is true, accurate, current, and not misleading, and to update it as necessary. Ticket Buyback reserves the right, in its sole discretion, to accept or reject any user registration and to suspend, ban, or terminate any account for any reason, including violations of this Agreement. You are only allowed to create one account per person or legal entity. You are solely responsible for any activity that occurs under your account, and you may not transfer, sell, or permit unauthorized access to it. If you suspect unauthorized use or any security breach involving your account, you must notify Ticket Buyback immediately. You may not use another user’s account without express permission. Ticket Buyback may require you to change your username or password if it believes your account is no longer secure or if your username infringes on another's rights.
By using the Site, you represent and warrant that you are doing so solely for the purpose of selling a ticket and not for any other purpose. If you are acting as an agent for a third party, you further represent and warrant that you have full authority to bind that party to this Agreement. You also acknowledge that any actions you take on the Site or reliance on any Ticket Buyback content or information are done at your own risk. Ticket Buyback shall not be liable for any losses resulting from your submission of false or inaccurate information or from your reliance on Ticket Buyback content. You are responsible for ensuring that your use of the Site complies with all applicable laws, regulations, and this Agreement. Access to the Site or services may not be lawful in certain jurisdictions or for certain persons; if you choose to access the Site, you do so at your own initiative and are solely responsible for compliance with applicable local laws.
Your choice to sell or act upon any Ticket Buyback Content (defined below) is solely yours. You understand that any information, representation, or warranty you make in conjunction with the Site is relied upon and subject to applicable laws and regulations. Ticket Buyback will not be liable for any losses you incur as a result of incorrect, erroneous, or untruthful information submission or your reliance of any Ticket Buyback Content. You represent and warrant that you are using the Site solely for the purposes of selling a ticket. You may not use the Site for any other purposes.
By using the Site, you represent and warrant that you are doing so solely for the purpose of selling a ticket and not for any other purpose. If you are acting as an agent for a third party, you further represent and warrant that you have full authority to bind that party to this Agreement. You also acknowledge that any actions you take on the Site or reliance on any Ticket Buyback content or information are done at your own risk. Ticket Buyback shall not be liable for any losses resulting from your submission of false or inaccurate information or from your reliance on Ticket Buyback content. You are responsible for ensuring that your use of the Site complies with all applicable laws, regulations, and this Agreement. Access to the Site or services may not be lawful in certain jurisdictions or for certain persons; if you choose to access the Site, you do so at your own initiative and are solely responsible for compliance with applicable local laws.
Your choice to sell or act upon any Ticket Buyback Content (defined below) is solely yours. You understand that any information, representation, or warranty you make in conjunction with the Site is relied upon and subject to applicable laws and regulations. Ticket Buyback will not be liable for any losses you incur as a result of incorrect, erroneous, or untruthful information submission or your reliance of any Ticket Buyback Content. You represent and warrant that you are using the Site solely for the purposes of selling a ticket. You may not use the Site for any other purposes.
3. User Verification
Ticket Buyback may require identity verification for its users and potential users. As part of the verification process, Ticket Buyback may require a user to provide additional identification information, including, without limitation, a copy of a valid driver’s license or other form of government-issued identification. Additionally, Ticket Buyback may charge an authorization fee (or another amount disclosed at the time of verification) to the user’s credit or debit card. This charge is solely for verification purposes and will be refunded upon successful authorization. Users may also be required to complete additional security procedures or provide further information to confirm their identity in accordance with Ticket Buyback’s policies.
4. Ownership
The Site and any related services provided are owned and operated by Ticket Buyback including all text, data, graphics, photographs, images, audio, video, trademarks, service marks, trade names and other information, visual or other digital material, software and all other content or any description available on the Site or available via a link from Site to a page created by Ticket Buyback on another website (collectively, the “Ticket Buyback Content”). The Ticket Buyback Content is the sole property of Ticket Buyback and/or its licensors. All Ticket Buyback Content is protected by United States and international copyright, trademark, service marks, patents, trade secrets and other proprietary rights and laws. Any information found on the Site or any Ticket information is for general informational and educational purposes only and is not an endorsement of any kind. Do not take any actions or refrain from taking actions based on any information found on the Site. Use of the Ticket Buyback Content for any purpose not expressly permitted in this Agreement or otherwise consented to by Ticket Buyback is prohibited. You may not otherwise copy, reproduce, perform, distribute, display or create derivative works of the Ticket Buyback Content.
5. Information Found on the Site
ALL TICKET BUYBACK CONTENT FOUND ON THE SERVICES IS FOR GENERAL, INFORMATIONAL, AND EDUCATIONAL PURPOSES ONLY. NOTHING FOUND ON THIS SITE IS TO BE DEEMED BE A REPRESENTATION, WARRANTY, RECOMMENDATION, REFERRAL, OR GUARANTEE. ALL DECISIONS THAT YOU MAKE CONCERNING ANY TRANSACTION ARE AT YOUR OWN RISK. Ticket Buyback makes reasonable efforts to maintain Ticket information as accurately as possible, however, prices, terms, conditions or exclusions are subject to change without notice, and not all quotes may be available in all locations, states, jurisdictions, provinces, territories, or risk profiles. Ticket Buyback does not endorse or warrant any written, digital, or other content including but not limited to any Ticket Buyback Content, written materials, quotes, manuals, documentation, reports, or other information encountered. You must not rely on the information on this Site as an alternative to legal advice from an attorney nor should you delay seeking legal advice, disregard legal advice, or commence or discontinue any legal action based on any Ticket Buyback Content. Any information you access on this Site does not constitute recommendation or advice. All Ticket Buyback Content is offered “as-is” and without warranty of any kind. Please be aware that Ticket Buyback Content may be inaccurate, untimely, or contain errors. You solely are responsible for your use of any Ticket Buyback Content and you agree to release us from any liability related to your use of any Ticket Buyback Content. You solely are responsible for evaluating such Ticket Buyback Content and we are not responsible for any errors or omissions with the data or content. Ticket Buyback is in no way affiliated with any artist(s), team(s), performer(s), venue(s), primary ticketing site(s), secondary ticketing site(s) or other organizations.
6. Third Party Content
Ticket Buyback does not endorse or warrant any Third Party Content including but not limited to any ticket information, materials, plans, reports, information provided by a third party broker, or other data provided by another user or third party (collectively “Third Party Content”) and does not assume responsibility for any Third Party Content encountered whether through the Services or otherwise. TICKET BUYBACK DOES NOT GUARANTEE OR ENDORSE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITES OR OTHER INFORMATION PROVIDED OR DISPLAYED ON THE SITES INCLUDING, WITHOUT LIMITATION, ANY TICKET INFORMATION OR PRICE QUOTES. WE ARE NOT OBLIGATED, UNDER ANY CIRCUMSTANCES, TO INVESTIGATE OR VERIFY ANY THIRD PARTY CONTENT INCLUDING BUT NOT LIMITED TO QUOTES, PRICING, DESCRIPTIONS, STATEMENTS, OR REPRESENTATIONS MADE BY ANY THIRD PARTIES FROM WHICH WE OBTAIN INFORMATION. THIRD PARTY CONTENT INCLUDING PRICE INFORMATION ARE SUBJECT TO CHANGE AND WE ARE NOT LIABLE FOR ANY CHANGES IN PRICE. No Third Party Content or Ticket Buyback Content is considered a solicitation to do business or an endorsement of Ticket Buyback. If you use or access any Third Party Content you do so at your own risk. We recommend that you independently evaluate Third Party Content and you should not solely rely on the Third Party Content displayed on the services to make any decisions. If you require more information regarding any Third Party Content, please contact the owner of such Third Party Content. Further, Ticket Buyback assumes no liability for inaccuracies or misstatements made by such third parties responsible for such Third Party Content.
The Site may contain links to third party websites that are not owned or controlled by Ticket Buyback. Ticket Buyback has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. In addition, Ticket Buyback will not and cannot censor or edit the content of any third-party website. By using the Site, you expressly release Ticket Buyback from any and all liability arising from your use of any third-party website.

7. Privacy
Please read Ticket Buyback’s Privacy Policy for more information regarding our collection and use of your information. The Ticket Buyback Privacy Policy is integrated into this Agreement by reference and you must agree to all provisions of our Privacy Policy before using our Site. You may not be required to create a user account when you use our Site; however, we may collect information from you when you decide to transact via the Site.
8. Site Availability and Modification
Although we will attempt to provide continuous Site availability to you, we do not guarantee that the Site will always be available, work, or be accessible at any particular time. We reserve the right to alter, modify, update, or remove our Site at any time. We may conduct such modifications to our Site for security, intellectual property, legal, or various other reasons at our discretion, and we are not required to explain such modifications. For example, we may provide updates to fix security flaws, or to respond to legal demands. Please note that this is a non-binding illustration of how we might exercise our rights under this section, and nothing in this section obligates us to take measures to update the Site for security, intellectual property, legal, or other reasons.
9. Your Conduct While Using The Site
When accessing or using our Site, you are solely responsible for your actions and you agree to abide by the following rules of conduct:
If you are discovered to be undertaking any of the aforementioned actions your privileges to use our Site may at our discretion be terminated or suspended. Generally, we will provide an explanation for any suspension or termination of your use of any of our Site, but Ticket Buyback reserves the right to suspend or terminate your access at any time without notice or explanation.
- You will not copy, distribute or disclose any part of the Site in any medium, including without limitation by any automated or non-automated “scraping”;
- You will not attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site;
- You will not use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Site or to extract or export data collected through the Site;
- You will not take any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
- You agree not to use the Site to stalk, harass, bully or harm another individual or post or transmit any content that is false, misleading, inaccurate, defamatory, or otherwise harmful to others;
- You agree that you will not hold Ticket Buyback responsible for your use of the Site;
- Use or display Ticket Buyback’s trademarks, brand assets, or proprietary materials without prior written permission;
- Fail to honor your contractual obligations related to the sale or transfer of tickets;
- You agree not to violate any requirements, procedures, policies or regulations of networks connected to Ticket Buyback or any applicable laws, third-party rights, league rules, venue regulations, event promoter policies, or other third-party terms of service;
- You agree not to use the Site for commercial purposes such as reselling, researching prices, or building a competing product;
- Copy, reproduce, modify, reverse engineer, distribute, publicly display, or create derivative works from any part of the Ticket Buyback site, services, or software (excluding your own information) without express written consent;
- Circumvent or attempt to bypass any security features or access restrictions we implement;
- Commercialize, export, or re-export the Ticket Buyback Site or any associated application, tool, or data in violation of applicable laws or without proper authorization;
- Use automated tools (e.g., bots, spiders, scrapers) to access the site or services without our written approval;
- Engage in any conduct that Ticket Buyback, in its sole discretion, considers a misuse of the platform, harmful to its users or operations, or damaging to the Ticket Buyback brand or reputation;
- You agree to not violate any US federal laws, state laws, or local laws while using the Site.
If you are discovered to be undertaking any of the aforementioned actions your privileges to use our Site may at our discretion be terminated or suspended. Generally, we will provide an explanation for any suspension or termination of your use of any of our Site, but Ticket Buyback reserves the right to suspend or terminate your access at any time without notice or explanation.
10. Intellectual Property
The name “Ticket Buyback,” the design of the Ticket Buyback Site along with Ticket Buyback created products, text, writings, images, templates, scripts, graphics, interactive features, marks, and logos contained therein (“Marks”), are owned by or licensed to Ticket Buyback. The Marks are subject to copyright and other intellectual property rights under US laws and international conventions. Ticket Buyback reserves all rights to the Marks not expressly granted.
11. User Content
Your ability to submit or transmit any information through the Site or to us, including but not limited to text, information, photos, images or any other information will be referred to as “User Content” throughout this Agreement. All User Content you submit will be owned by you, the user. Please be aware that we are not required to host, display, migrate, or distribute any of your User Content and we may refuse to accept or transmit any User Content. You agree that you are solely responsible for any User Content submitted and you release us from any liability associated with any User Content submitted. You understand that we cannot guarantee the absolute safety and security of any such User Content. Any User Content found to be in violation of this Agreement or that we determine to be harmful to the Site may be modified, edited, or removed at our discretion. Ticket Buyback does not endorse and may not verify, monitor, or restrict any of its users or any User Content submitted.
When you submit any User Content to us, you grant Ticket Buyback, its partners, affiliates, users, representatives and assigns a non-exclusive, fully-paid, royalty-free, irrevocable, world-wide, universal, transferable, assignable license to display, publicly perform, distribute, store, broadcast, transmit, reproduce, modify, prepare derivative works, and otherwise use and reuse all or part of your User Content in any way we see fit, for commercial or non-commercial use. It is important for you to grant us this license so that we may transmit your User Content to third parties as needed.
When you submit any User Content to us, you grant Ticket Buyback, its partners, affiliates, users, representatives and assigns a non-exclusive, fully-paid, royalty-free, irrevocable, world-wide, universal, transferable, assignable license to display, publicly perform, distribute, store, broadcast, transmit, reproduce, modify, prepare derivative works, and otherwise use and reuse all or part of your User Content in any way we see fit, for commercial or non-commercial use. It is important for you to grant us this license so that we may transmit your User Content to third parties as needed.
12. Representations and Warranties
USE OF THIS SITE INCLUDING ANY SERVICES PROVIDED, THE TICKET BUYBACK CONTENT, AND ANY ASSOCIATED PRODUCTS SOLD ARE AT YOUR EXCLUSIVE RISK, AND THE RISK OF INJURY FROM THE FOREGOING RESTS EXCLUSIVELY WITH YOU.
EXCEPT FOR ANY WARRANTIES AS EXPRESSLY PROVIDED WITHIN THIS AGREEMENT, THE SITE, ANY SERVICES, AND ASSOCIATED PRODUCTS SOLD THROUGH THE SITE ARE PROVIDED “AS IS,” “WITH ALL FAULTS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.
TICKET BUYBACK DOES NOT WARRANT THAT THE SITE, OR ANY SERVICES OFFERED WILL BE: (1) UNINTERRUPTED OR ERROR FREE; (2) FREE FROM DEFECTS OR ERRORS; (3) FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (4) SUITABLE FOR YOUR NEEDS, OR (5) ACCURATE, FUNCTIONAL, CORRECT, APPLICABLE, OR RELIABLE.
EXCEPT FOR ANY WARRANTIES AS EXPRESSLY PROVIDED WITHIN THIS AGREEMENT, THE SITE, ANY SERVICES, AND ASSOCIATED PRODUCTS SOLD THROUGH THE SITE ARE PROVIDED “AS IS,” “WITH ALL FAULTS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.
TICKET BUYBACK DOES NOT WARRANT THAT THE SITE, OR ANY SERVICES OFFERED WILL BE: (1) UNINTERRUPTED OR ERROR FREE; (2) FREE FROM DEFECTS OR ERRORS; (3) FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (4) SUITABLE FOR YOUR NEEDS, OR (5) ACCURATE, FUNCTIONAL, CORRECT, APPLICABLE, OR RELIABLE.
13. Limitation of Liability
To the extent permitted by applicable law, we (including OUR officers, directors, agents, AFFILIATES, and employees) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF THE SITES, THE SERVICES, OR ANY Ticket Buyback CONTENT, third party content OR USER CONTENT, resulting directly or indirectly from your use of the Site, OUR services, any PRODUCTS encountered, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT Ticket Buyback HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you. In the event that your jurisdiction does not allow us to exclude all liability, you agree that our total liabIlity to you will not exceed ONE THOUSAND UNITED STATES DOLLARS ($1,000). Specifically, in those jurisdictions not allowed, we do not disclaim liability for: (a) death or personal injury caused by Ticket Buyback’s negligence or that of any of its officers, directors, agents, affiliates, or employees; (b) fraudulent misrepresentation; or (c) any liability which it is not lawful to exclude either now or in the future.
14. Release
IF YOU ARE A RESIDENT OF A JURISDICTION THAT REQUIRES A SPECIFIC STATEMENT REGARDING RELEASE THEN THE FOLLOWING APPLIES. FOR EXAMPLE, CALIFORNIA RESIDENTS MUST, AS A CONDITION OF THIS AGREEMENT, WAIVE THE APPLICABILITY OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” YOU HEREBY WAIVE THIS SECTION OF THE CALIFORNIA CIVIL CODE. YOU HEREBY WAIVE ANY SIMILAR PROVISION IN LAW, REGULATION, OR CODE THAT HAS THE SAME INTENT OR EFFECT AS THE AFOREMENTIONED. YOU RELEASE US FROM ANY LIABILITY (INCLUDING liability, claims, demands, actions, and causes of action whatsoever, arising out of or related to any loss, damage, or injury, including death), RELATING TO ANY TICKET BUYBACK CONTENT, OUR SERVICES, ANY tickets SOLD, AND YOU RELEASE US, OUR OFFICERS, DIRECTORS, AGENTS, AFFILIATES, AND EMPLOYEES FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY tickets PURCHASED OR ANY CLAIM YOU HAVE AGAINST US.
15. Indemnity
You agree to defend, indemnify, and hold harmless Ticket Buyback, its officers, directors, agents, affiliates, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees) arising from:
This defense and indemnification obligation will survive the termination or expiration of this Agreement. You also agree that you have a duty to defend us against such claims and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim and you shall be liable for the damages as though we had proceeded with a trial.
- Your sale of any tickets through the Site or use of any of the associated services or products;
- Your violation of any term of this Agreement;
- Your failure to comply with any state or federal laws including but not limited to federal, state, county, city or municipal tax regulations, laws, orders, or decrees;
- Any claims that your actions harmed us or a third party.
This defense and indemnification obligation will survive the termination or expiration of this Agreement. You also agree that you have a duty to defend us against such claims and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim and you shall be liable for the damages as though we had proceeded with a trial.
16. Choice of Law
This Agreement shall be governed by the laws in force in the state of California. The offer and acceptance of this contract is deemed to have occurred in the state of California.
17. Forum
By using this Site, you agree that: (1) any claim, dispute, or controversy you may have against us, Ticket Buyback or the Site arising out of, relating to, or connected in any way with this Agreement or any tickets sold shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator pursuant to the applicable Consumer Rules and Procedures established by AAA (“Rules and Procedures”); (2) the claim or dispute must be brought within one (1) year of the first date of the event giving rise to such action and the arbitration shall be held in Los Angeles, CA; (3) the arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (4) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only your and/or Ticket Buyback’s individual claims; and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (5) both parties will bear their own costs of representation and filing for the dispute; (6) where possible and allowed for under the AAA Rules and Procedures, both parties shall be entitled to appear using written briefs, electronically or telephonically for all proceedings; and (7) with the exception of subpart (4) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by the AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (4) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither you nor Ticket Buyback shall be entitled to arbitrate their dispute. For more information on AAA and its Rules and Procedures, users may visit the AAA website at http://www.adr.org. This arbitration agreement does not apply to any intellectual property infringement claims or any claims that require injunctive relief all such claims shall be heard in a court of competent jurisdiction located within Los Angeles County, CA.
Illinois Users: If you sell a ticket for an event taking place in the State of Illinois, and the transaction is subject to 815 ILCS 414/1.5(c), you may elect to submit any complaint involving another seller to binding arbitration through AAA, following its Rules and Procedures as set forth above. By using Ticket Buyback to sell tickets to Illinois events, you also agree to submit to the jurisdiction of the State of Illinois for any legal matter related to a ticketed event held in Illinois. This agreement to jurisdiction does not limit or waive the obligation to arbitrate disputes. Illinois Users: If you sell a ticket for an event taking place in the State of Illinois, and the transaction is subject to 815 ILCS 414/1.5(c), you may elect to submit any complaint involving another seller to binding arbitration through AAA, following its Rules and Procedures as set forth above. By using Ticket Buyback to sell tickets to Illinois events, you also agree to submit to the jurisdiction of the State of Illinois for any legal matter related to a ticketed event held in Illinois. This agreement to jurisdiction does not limit or waive the obligation to arbitrate disputes. 18. Arbitration Opt Out
You may opt-out of this dispute resolution provision by notifying Ticket Buyback within 30 days of the date on which you entered into this Agreement or purchased a subscription, whichever is earlier. You must do so by writing to “Ticket Buyback attn: Arbitration Opt-Out” 23820 Hawthorne Blvd, Suite 101 Torrance, CA 90505 and you must include your name, address, account information, and a clear statement that you do not wish to resolve disputes with Ticket Buyback through arbitration. Where you opt out of arbitration, all disputes shall be heard in a court of competent jurisdiction located within Los Angeles County, CA.

20. Class Action Waiver
You and Ticket Buyback agree that any proceedings to resolve or litigate any dispute whether through a court of law or arbitration shall be solely conducted on an individual basis. You agree that you will not seek to have any dispute heard as a class action, representative action or collective action.
21. Force Majeure
You agree that we are not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including, but not limited to, acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, pandemic, or any other event beyond our control.
22. Independent Contractors
Ticket Buyback and you are independent contractors. Nothing herein shall be construed to create a partnership, joint venture, employment, agency, or other legally privileged relationship. Ticket Buyback and you have no authority (and shall not hold ourselves out to) to bind the other party and each party shall not make any agreements or representations on behalf of the other party.
23. Severability
In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it.
If two or more provisions of this Agreement or any other agreement you may have with Ticket Buyback are deemed to conflict with each other’s operation, you agree that Ticket Buyback shall have the sole right to elect which provision remains in force.

24. Non-Waiver
We reserve all rights permitted to us under this Agreement as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of this Agreement or any applicable law should not be construed as a waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.
25. Survival
All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, licensing, ownership provisions, warranty disclaimers, exclusivity, non-circumvention, Confidential Information, indemnity, class action, arbitration, and limitations of liability. You agree that we are not required to provide you with access to our Site and may terminate our Site at any time and for any reason.
26. Termination
We may terminate your access to the Site or this Agreement if we determine that: (1) you have violated any applicable laws while using our Site; (2) if you have violated this Agreement or any other of our Site policies; or (3) if we believe that any of your actions may harm the Ticket Buyback Site, our business interests, or any third party, at our sole decision or discretion.
27. Actions We May Take
Ticket Buyback reserves the right to investigate any suspected violation of this Agreement, security protocols, third-party rights, applicable law, or any misuse of the Site or associated services. If Ticket Buyback, in its sole discretion, determines that you have breached this Agreement or engaged in any prohibited, abusive, fraudulent, or unlawful conduct, it may take any action it deems appropriate to protect itself, its users, partners, or other third parties. These actions may include, without limitation:
Ticket Buyback may report any potentially illegal activity to law enforcement or regulatory authorities and will cooperate with any verified legal requests, including subpoenas, court orders, or other official inquiries. We reserve the right to take any of these actions at any time, with or without notice, and without liability to you.
- Suspending, limiting, or terminating your access to the Site or services;
- Cancelling ticket sales or transactions;
- Withholding or delaying payments;
- Closing your account or denying future access to the Site;
- Holding funds or issuing chargebacks to recover amounts owed;
- Contacting your financial institution, relevant third parties, or law enforcement;
- Sharing account, transaction, or payment information with authorities in connection with any investigation;
- Taking technical, legal, or financial steps to restrict further access or recover damages.
Ticket Buyback may report any potentially illegal activity to law enforcement or regulatory authorities and will cooperate with any verified legal requests, including subpoenas, court orders, or other official inquiries. We reserve the right to take any of these actions at any time, with or without notice, and without liability to you.
28. Notice
Any notice required under this Agreement shall be sent to legal@ticketbuyback.com, any notice required to you shall be sent to your email address registered with us.
29. Age
All users who access the Site must be eighteen (18) years of age or older. In order to sell a ticket through the Site you must be eighteen (18) years of age or older.
30. Assignment
You may not assign your rights and/or obligations under this Agreement to any other party without our prior written consent. We may assign our rights and/or obligations under this Agreement to any other party at our discretion.
31. Entire Agreement
You agree that this Agreement and the Privacy Policy are the entire agreement between the parties and shall supersede all other agreements written or oral. Any statements by either party shall not alter this Agreement made between the parties.
32. Amendments
We may amend this Agreement from time to time. When we amend this Agreement, we will update this page and indicate the date that it was last modified or we may email you. You may refuse to agree to the amendments, but if you do, you must immediately cease using our Site.
33. Electronic Communications
The communications between you and Ticket Buyback use electronic means, whether you visit the Site or send Ticket Buyback e-mails or texts, or whether Ticket Buyback posts notices on the Site or communicates with you via e-mail. For contractual purposes, you: (1) consent to receive communications from Ticket Buyback in an electronic form; and (2) agree that all terms, conditions, agreements, notices, disclosures, and other communications that Ticket Buyback provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing. The foregoing does not affect your statutory rights.
34. California Users

35. Tickets
The Site may allow users, as a seller, to sell tickets owned by the user to Ticket Buyback. However, Ticket Buyback has no obligation to purchase any tickets from any seller and may reject any and all offers to purchase a ticket at its sole discretion. Ticket Buyback reserves the right to refuse or cancel any transaction or inquiry at any time and for any reason, including but not limited to event catalog errors, inventory errors, pricing discrepancies, charity or benefit events, undisclosed restrictions on the ticket like limited view or 21+ age, changes in seating location, fraud concerns, or suspected misuse of the Site. This also includes but is not limited to changes in market price due to player injury, team, performer, or player announcement (ex. player retirement), earlier tournament or playoff results, performer ticket cancellations, or change in law that would limit the ability to resell.
All ticket sales are subject to verification, compliance with applicable laws, regulations, and this Agreement. We may require that the ticket sold is in a transferable electronic format such as a mobile transfer or pdf. We reserve the right to reject or accept any ticketing format at our discretion. Ticket Buyback reserves the right, in its sole discretion, to reject any ticket or transaction that it believes may: (i) be fraudulent, invalid, inauthentic, or stolen; (ii) originate from an unauthorized or illegal source; (iii) be connected to any illegal activity; or (iv) otherwise pose a financial or reputational risk to Ticket Buyback, its other users, or any other third party. Not all tickets may be eligible for purchase by Ticket Buyback, and Ticket Buyback has no obligation to accept, facilitate, or complete any transaction.
All tickets are subject to our additional policies including but not limited to the FAQ’s listed on our Site. We reserve the right to update such policies at our discretion and may do so without notice to you. Where conditions of a ticket change after sale (such as venue or seating location), you agree that you shall notify us promptly and comply with our instructions regarding such changes. We reserve the right to cancel, change, or alter the sale conditions where a change in ticket condition has occurred. This may result in the cancellation of any ticket sale, a change in price, or a charge for any differences due to such changes.

We may require that the ticket sold is in a transferable electronic format such as a mobile transfer or pdf. We reserve the right to reject or accept any ticketing format at our discretion. 36. Transfer Delayed and Transfer Disabled Events
Some event organizers restrict ticket transfers until closer to the event date. If you accept a quote but cannot transfer the tickets by the required deadline, the following applies:
- Default Cancellation: If you do not transfer the tickets by the transfer deadline, your order will be automatically cancelled. You must then request a new quote from us if you wish to proceed with a sale at that time. Where a ticket sale is cancelled under these conditions we have no obligation to offer you the same price or quote as previously offered.
- Quote Lock-In: If the event organizer only permits ticket transfers closer to the event date, we may offer you the ability to lock in your original quote. To do so, we may require: (i) proof of ticket purchase along with any additional documentation required by us; and (ii) a valid credit card added to your account. By locking in a quote under these conditions, you are entering into a binding agreement to fulfill the sale as soon as the tickets become transferable. You may not sell or offer the same tickets elsewhere while your quote is locked in. If you fail to transfer the tickets promptly once they become available, we reserve the right to: (A) cancel the transaction; (B) charge the card on file for the cost of procuring replacement tickets or covering losses arising from your failure to fulfill; and/or (C) suspend or terminate your account.
- Disabled Events: If ticket transfers are permanently disabled for an event, please contact the ticketing platform from which you purchased your tickets for confirmation. If it is confirmed that the event does not support any form of transfer, we will be unable to complete the sale and your order will be cancelled.
37. Mobile QR and PDF Tickets
Certain ticket types are higher risk. To sell these, we may require a valid credit card added to your account. You may not sell or offer the same tickets elsewhere. If the tickets scan as invalid, we reserve the right to: (A) cancel the transaction; (B) charge the card on file for the cost of procuring replacement tickets or covering losses arising from your failure to fulfill; and/or (C) suspend or terminate your account.
38. Seller and Ticket Conditions
By using the Ticket Buyback Site or attempting to sell any ticket to Ticket Buyback, seller represents, warrants and covenants that:
- Each ticket is transferable, free from all encumbrances or conditions, and complies with all third party rules, requirements, or regulations including but not limited to the policies of the National Basketball Association, Major League Baseball, National Hockey League, National Football League, National Collegiate Athletic Association, Major League Soccer, concert promoters, theaters, leagues, schools, or other event organizers.
- Seller is not violating any laws or regulations by selling such ticket.
- Seller is the lawful owner of the ticket being sold, with full authority to transfer the ticket to Ticket Buyback and is in possession of such ticket.
- Each ticket is valid for entry to the event, eligible for resale, and not subject to any liens, claims, or third-party rights.
- Seller is responsible for ensuring the accuracy of all event and seating details, including date, venue, seat location, and section. Seller must provide all disclosures on the ticket including, but not limited to, limited view status, age restrictions, or accessibility status.
- The ticket will not be reissued, reprinted, or transferred to any other party after the sale to Ticket Buyback.
- All tickets sold to Ticket Buyback must be removed from all other resale platforms.
- Seller shall provide complete, accurate, and up-to-date information throughout the selling process.
- The tickets are not fraudulent or counterfeit, or otherwise not acquired through fraud or deception.
39. Ticket Acceptance and Verification
By submitting a ticket through the Ticket Buyback Site or otherwise initiating a sale inquiry, the seller is making an offer to sell the ticket(s) to Ticket Buyback under the terms stated in this Agreement and at the “Instant Quote” price as stated on the Site. The “Instant Quote” price is not a contractually binding offer to purchase the ticket at such a price and is merely a proposed price. All “Instant Quote” prices are merely purchase estimates and nothing in this Agreement obligates Ticket Buyback to purchase any ticket submitted to the “Instant Quote” feature. Upon your acceptance of an “Instant Quote” an email confirmation shall be generated; however, such confirmation email alone does not form a binding agreement between you and Ticket Buyback to purchase your ticket. A binding agreement to purchase your ticket is only formed upon: (i) email confirmation of the “Instant Quote” price of your submitted ticket; (ii) fulfillment of all conditions as stated within our policies, this Agreement, and your email confirmation; and (iii) completion of a 24-hour verification period (collectively “Ticket Sale Conditions”) after the ticket has been actually received by Ticket Buyback. If the Ticket Sale Conditions stated above have not been reached, then no agreement is deemed to have been formed and Ticket Buyback shall not have any obligation to purchase any ticket submitted.
Once the seller has initiated the ticket transfer process or otherwise sent the ticket(s) to Ticket Buyback, ownership of the ticket(s) shall transfer to Ticket Buyback, and Ticket Buyback shall have the exclusive right to sell the tickets thereafter. You are solely responsible for ensuring that the ticket is transferred to the proper recipient as stated within the email confirmation. Upon fulfillment by you of the Ticket Sale Conditions, you agree to be bound by this transaction and acknowledge that any failure to comply with all obligations related to the transfer and delivery of the ticket may result in cancellation, additional charges, or other remedies as set forth in this Agreement or in accordance with Ticket Buyback’s standard policies. Ticket Buyback reserves the right to reevaluate, modify, or cancel the ticket purchase even after your fulfillment of the Ticket Sale Conditions in the event of issues with receiving the ticket, a breach of this Agreement, failure by seller to comply with this Agreement, a misquote or error of the ticket “Instant Quote” price, changed ticketing or marketing conditions, venue or ticket issues, event changes, or other technical or electronic issues related to the Site or the transfer of the ticket from seller to Ticket Buyback.
All tickets submitted are subject to verification by Ticket Buyback. No obligation to pay for any ticket shall arise unless and until (a) the seller has fully and timely delivered the applicable ticket(s); and (b) Ticket Buyback has confirmed receipt and authenticity of such ticket(s) and obtained actual possession, whether physically or electronically. If any ticket is found to be invalid, misrepresented, previously sold, or non-deliverable, Ticket Buyback reserves the right to cancel the transaction, withhold payment, and pursue additional remedies, including damages or termination of seller's account.
Once the seller has initiated the ticket transfer process or otherwise sent the ticket(s) to Ticket Buyback, ownership of the ticket(s) shall transfer to Ticket Buyback, and Ticket Buyback shall have the exclusive right to sell the tickets thereafter. You are solely responsible for ensuring that the ticket is transferred to the proper recipient as stated within the email confirmation. Upon fulfillment by you of the Ticket Sale Conditions, you agree to be bound by this transaction and acknowledge that any failure to comply with all obligations related to the transfer and delivery of the ticket may result in cancellation, additional charges, or other remedies as set forth in this Agreement or in accordance with Ticket Buyback’s standard policies. Ticket Buyback reserves the right to reevaluate, modify, or cancel the ticket purchase even after your fulfillment of the Ticket Sale Conditions in the event of issues with receiving the ticket, a breach of this Agreement, failure by seller to comply with this Agreement, a misquote or error of the ticket “Instant Quote” price, changed ticketing or marketing conditions, venue or ticket issues, event changes, or other technical or electronic issues related to the Site or the transfer of the ticket from seller to Ticket Buyback.
All tickets submitted are subject to verification by Ticket Buyback. No obligation to pay for any ticket shall arise unless and until (a) the seller has fully and timely delivered the applicable ticket(s); and (b) Ticket Buyback has confirmed receipt and authenticity of such ticket(s) and obtained actual possession, whether physically or electronically. If any ticket is found to be invalid, misrepresented, previously sold, or non-deliverable, Ticket Buyback reserves the right to cancel the transaction, withhold payment, and pursue additional remedies, including damages or termination of seller's account.
40. Payments to Sellers
For any tickets that meet the Ticket Sale Conditions and are delivered, verified, accepted, and purchased by Ticket Buyback from a seller, Ticket Buyback shall pay the seller for such verified and delivered tickets in accordance with this Agreement. Seller acknowledges and agrees that payment shall not be due until thirty (30) days after the date of the event associated with the tickets, subject to successful delivery and verification of the tickets and compliance with all other terms in this Agreement. You shall be solely responsible for all banking or payment fees related to the payment of any tickets sold.
Seller will receive payment via the method selected through Ticket Buyback’s platform. By registering an account to receive payments, seller expressly authorizes Ticket Buyback’s third-party payment service provider to initiate credit transfers to the financial institution account provided by the seller. Seller consents to the collection and sharing of personal and financial information between Ticket Buyback and its third party payment processor, for the purpose of facilitating payment. Seller is solely responsible for ensuring that all payment information is accurate and complete and must agree to all terms required by such third party payment processor including the processor’s privacy policy.
Where seller has not received payment within the timeframes outlined above, they must first confirm that their payment details, including email address and payment method, are accurate by reviewing their account settings. If corrections are necessary, seller should update the information and allow for additional processing time. If the payment details are already correct, seller must promptly contact Ticket Buyback at support@ticketbuyback.com. Ticket Buyback will review the matter and, if it determines payment has not yet been properly processed, will take all reasonable steps to complete the payment as soon as practicable. Inaccuracies or omissions of any payment information may result in cancellation of the transaction, delays in payment, fees, or permanent removal from the Site. Following receipt of any payment by seller, seller shall have sixty (60) days to provide written notice to Ticket Buyback of any dispute regarding the payment, including sufficient details to enable a reasonable investigation. If seller does not provide such notice within sixty (60) days, seller agrees that the payment shall constitute full and final satisfaction of all amounts due for that transaction, and seller waives any right to subsequently assert a claim related to the calculation or sufficiency of such payment.
Seller will receive payment via the method selected through Ticket Buyback’s platform. By registering an account to receive payments, seller expressly authorizes Ticket Buyback’s third-party payment service provider to initiate credit transfers to the financial institution account provided by the seller. Seller consents to the collection and sharing of personal and financial information between Ticket Buyback and its third party payment processor, for the purpose of facilitating payment. Seller is solely responsible for ensuring that all payment information is accurate and complete and must agree to all terms required by such third party payment processor including the processor’s privacy policy.

If seller does not provide such notice within sixty (60) days, seller agrees that the payment shall constitute full and final satisfaction of all amounts due for that transaction, and seller waives any right to subsequently assert a claim related to the calculation or sufficiency of such payment.
41. Taxes
Seller acknowledges and agrees that Seller is solely responsible for determining any tax liability associated with the sale of tickets to Ticket Buyback and for remitting all required tax payments to the appropriate taxing authorities. This includes, but is not limited to, income, sales, use, or withholding taxes arising from transactions conducted through Ticket Buyback. Ticket Buyback does not provide tax advice and shall not be liable for any seller’s failure to report or remit applicable taxes. If a seller meets the threshold requirements for tax reporting in a calendar year, Ticket Buyback may generate applicable tax forms such as a Form 1099-K for the seller. Some states impose their own reporting thresholds, which may differ from the federal requirements. Where applicable, Ticket Buyback may also deliver any applicable state tax forms as required. You agree to consult your tax advisor to understand the thresholds that may apply to you and to properly file, pay, or report any taxes. Ticket Buyback will not and does not provide any tax, financial, or other legal advice related to your use of the Site.
42. Ticket Delivery Issues
If a sale of a ticket to Ticket Buyback is canceled or cannot be delivered to Ticket Buyback, including but not limited to: (a) the event being canceled, (b) the tickets scanning as invalid, (c) improper or incomplete delivery, (d) failure by you to abide by the Ticket Sale Conditions or (e) any other failure by Ticket Buyback to receive the ticket from Seller such as unexpected errors or third party ticketing issues. Ticket Buyback shall cancel the ticket purchase transaction and any amounts owed to seller for the ticket shall be voided. Where any payments are made to seller prior to the cancellation of such transaction, seller shall immediately refund all amounts to Ticket Buyback.
43. Withholding of Payments; Fraud, Collections, Charges, and Enforcement
Ticket Buyback reserves the right, in its sole discretion, to withhold payment to any seller if it suspects or determines that (a) the tickets submitted are fraudulent, counterfeit, invalid, misrepresented, previously sold, or otherwise non-compliant with this Agreement; (b) there is a dispute regarding ticket delivery, event cancellation, or buyer dissatisfaction; (c) the seller has engaged in deceptive, abusive, or fraudulent behavior; (d) the seller is engaging in or may engage in actions that harm Ticket Buyback or a third party; or (e) the seller has violated any applicable law, regulation, or Ticket Buyback policy.
Ticket Buyback may also terminate or suspend the seller’s account, report the incident to law enforcement or regulatory authorities, pursue legal action, and/or take any other lawful measures it deems appropriate. Seller agrees that any funds withheld pursuant to this section may be held indefinitely following the occurrence of the event or transaction giving rise to the dispute, fraud, or chargeback. Ticket Buyback may also deduct or withhold from any future or current payments to seller the amount of any chargebacks or other losses incurred by Ticket Buyback arising out of seller’s conduct or omissions. Where seller owes money to Ticket Buyback for any reason including but not limited to chargebacks, refunds, penalties, cancelled tickets, or other adjustments, Ticket Buyback may report your information to collections, law enforcement, credit bureaus, or other third parties as necessary. Additionally, we reserve the right to charge you or your payment method on file the full price of the ticket sold or the price of a comparable replacement ticket along with additional fees or costs incurred by us or third parties in connection with your breach of this Agreement, failure to comply with all Ticket Sale Conditions, or a cancelled, non-transferable, or otherwise unusable ticket. Seller agrees that it shall bear all costs of collection including but not limited to fees, interest, costs, or legal fees associated with collecting the delinquent amounts and such delinquency may affect sellers credit rating.
Ticket Buyback may also terminate or suspend the seller’s account, report the incident to law enforcement or regulatory authorities, pursue legal action, and/or take any other lawful measures it deems appropriate. Seller agrees that any funds withheld pursuant to this section may be held indefinitely following the occurrence of the event or transaction giving rise to the dispute, fraud, or chargeback. Ticket Buyback may also deduct or withhold from any future or current payments to seller the amount of any chargebacks or other losses incurred by Ticket Buyback arising out of seller’s conduct or omissions. 44. Cancelled Events
In the event a ticketed event is canceled, seller will not be paid for the transaction. Determination of whether an event is considered "canceled" for the purposes of this Agreement shall be made in Ticket Buyback’s sole discretion, and such determination shall be final and binding.
45. Request for Documentation
Seller agrees to cooperate fully with any Ticket Buyback request for documentation, communication, or clarification regarding the status of an event or ticket sale. If seller has already received payment prior to notice of the cancellation, Ticket Buyback reserves the right to recover such payment by charging seller’s payment method on file (for the full ticket price paid or the price of a comparable ticket along with any additional fees or costs incurred) or by deducting or offsetting from pending or future payments. If seller takes action to prevent or delay recovery of such funds, Ticket Buyback may suspend seller’s account, withhold future payments, or take any other necessary enforcement action until the amount is fully recovered.
